The Securities and Exchange Commission's settlement of a lawsuit against Goldman Sachs (NYSE: GS) over a certain subprime mortgage product sold to investors misses a key issue. That is, concerning the company's duty to provide timely and transparent disclosures to its own shareholders about government subpoenas, investigations, and pending enforcement actions against the firm. In this particular case, Goldman did not make timely disclosures about the regulator's investigation and pending lawsuit against the firm, right under the SEC investigator's noses.


Goldman Sachs chooses to keep shareholders in the dark about SEC investigation and pending enforcement action


During the summer of 2008, the SEC started investigating Goldman's marketing of a certain subprime mortgage product, known as ABACUS CDO, to investors who lost over $1 billion from that transaction.
At that time, Goldman Sachs knew that the SEC was investigating its failure to disclose material information to investors in violation of SEC Rule 10b-5 in connection with that transaction. However, Goldman Sachs did not disclose the SEC's investigation in its financial reports.


In July 2009, the SEC sent Goldman Sachs a Wells notice informing Goldman of its intention to file a lawsuit against the company. Still, Goldman Sachs chose not to disclose the SEC's pending enforcement action in its financial reports.


On Friday, April 16, 2010, the SEC filed a surprise lawsuit against Goldman Sachs and Executive Director Fabrice Tourre alleging securities fraud in connected with the company's marketing of the ABACUS CDO to investors. That day, Goldman Sachs shares plummeted from $183.31 per share to $160.30 per share or about 13%, wiping out about $12 billion of shareholder wealth.


Clearly, investors deemed the surprise news of the SEC complaint against the company as material information, unlike the management team running Goldman Sachs.


Goldman Sachs settles SEC charges


Yesterday, Goldman Sachs settled SEC charges against the firm. According to the SEC's press release:


...Goldman, Sachs & Co. will pay $550 million and reform its business practices to settle SEC charges that Goldman misled investors in a subprime mortgage product just as the U.S. housing market was starting to collapse.

In agreeing to the SEC's largest-ever penalty paid by a Wall Street firm, Goldman also acknowledged that its marketing materials for the subprime product contained incomplete information.



In a news conference, Director of SEC Enforcement Robert Khuzami spoke about Goldman's duty to provide full and transparent disclosure to its customers but ignored the company's duty to likewise provide such disclosures to its own shareholders:


They acknowledge that their marketing materials for the ABACUS CDO contained incomplete information, and that they failed to disclose both Paulson & Company's role in the portfolio selection process, and that Paulson's economic interests were adverse to CDO investors.


The settlement also contains forward-looking reforms. Goldman has agreed to tighten internal controls and assess the roles and responsibilities of Goldman personnel and others to insure that disclosures in future offerings of mortgage and CDO products are full and accurate.


In agreeing to the settlement, we also took into account that Goldman is engaging in a broad-based self-assessment of their overall business practices that will increase transparency, evaluate and remediate conflicts, and take other steps that collectively will reduce the chances that investors in the future will be misled.


This resolution achieves the goals of accountability, punishment for past misconduct and prospective reforms that are the hallmark of a successful outcome.


Today's settlement is a stark reminder that there will be a heavy price to be paid if firms violate the principles fundamental to our securities laws - full disclosure, honest treatment and fair dealing - and those principles do not change, even if the product is complex or the investor sophisticated.



By ignoring Goldman's failure to inform shareholders in a timely manner about the SEC's investigation of the company and then pending enforcement action, the SEC is sending a message that surprising investors about investigations and enforcement actions is fair game. Moreover, a resolution requiring self-assessment is meaningless, as anyone not sleeping soundly through the last decade should know.


Friday, news of the settlement sent Goldman shares 4.43% higher to close at $145.22 per share, still far lower than its $181.31 price per share the day before the SEC filed its complaint against the company.

Making Money With Options



Facebook has backtracked on controversial plans to allow users to share their address and cellphone number with advertisers, after facing vocal criticism from privacy advocates. Announced on Friday, Facebook billed the option as a way to “easily share your address and mobile phone with a shopping site to streamline the checkout process, or sign up for up-to-the-minute alerts on special deals directly to your mobile phone”; however, while the standard privacy tools were offered, many believed the social networking site had a greater responsibility to notify users when they were giving out the data.



“Over the weekend, we got some useful feedback that we could make people more clearly aware of when they are granting access to this data. We agree, and we are making changes to help ensure you only share this information when you intend to do so. We’ll be working to launch these updates as soon as possible, and will be temporarily disabling this feature until those changes are ready. We look forward to re-enabling this improved feature in the next few weeks” Facebook statement


As a result, Facebook has “temporarily” disabled the address and phone number sharing feature, though it will not be gone for good. Instead, the company will be working on new ways to indicate to users when their data is being made available, with a mind to reinstating the functionality “in the next few weeks.”


For the social networking site – which makes its money through advertising – anything that allows its sponsors better or easier access to users is a benefit, and it’s unsurprising that, despite the privacy set-back, it intends to push ahead with options to make personal data more available. Whether the responsibility for educating users about the potential harm in sharing that information is the site’s will remain a much-argued question.

It was only a couple months ago that the Rangers were (near) the top of the baseball world.  They fulfilled their role as David, when slaying the Goliath Yankees, and endeared themselves to millions of baseball fans across the country with their love of all things hustle.

But things changed for the Rangers in a New York minute (you knew that New York would get back in the discussion) when Cliff Lee, their undisputed ace, shocked the baseball world and fled back to Philadelphia.  Just like that, the Rangers rotation—a strength—turned into a weakness.  Panic spread across Texas.

So they did what any right-minded club would do—go sign the next biggest name available.  Because if you can't have the prom queen, you should at least get her still cute best friend...right?  Except in this case, it's wrong...very wrong.

The Rangers are closing in on signing 3B Adrian Beltre to a 6-year, $96 million dollar deal that frankly makes, well, no sense.  There are definitely positives to Beltre—he's coming off a big season, he's one of the best fielding third baseman (and players) in all of baseball, and he does have a power bat.  But for the few reasons that the deal does make some sense, there are many more reasons why it doesn't. 

Why?  Let's break it down:

  • Beltre will be 32 years old a week into the season—not ancient—but definitely edging towards the downside of his career.  On top of that, this will be his 14th season.  If there's such a thing as a "young" veteran, Beltre isn't it.  Do you really see this guy still going strong when he's in his 17th, 18th or 19th year of his career (or the second half of his contract)?
  • In 13 previous seasons, Beltre has made the postseason ONCE!  That was in 2004-2005, while still with the Dodgers.  Beltre's line was .267 AVG, one RBI, zero extra-base hits, three K's, zero BB's—a series that saw the Dodgers lose handily to the Cardinals in four games.  For the record, that was the same year he had his breakout season, when he finished second in the NL MVP race.
  • Beltre is notorious for having big years in the last year of his contract (see 2004 with Dodgers, 2010 with Boston).  I think we saw with Seattle what happens when the guy isn't as motivated to play for the next big contract
  • Texas is a SMALL market team.  Giving an aging player a deal averaging $16 million a year is ABSURD.  Look at the Yankees with A-Rod.  A-Rod is making $30 million a year for the next eight seasons, yet is already being hampered with injuries.  Throwing this amount of money at guys over 30 years old with 10+ years of experience is a huge risk, especially for a team like Texas. 
  • As a team, Texas had a salary of around $55 million last year, which ranked 26th in the majors.  That means that they're going to give Beltre a contract that composes nearly 29 percent of their salary from last season.  
  • How was this the price set for Beltre this offseason?  Carlos Gonzalez—a much younger OF coming off a major season, who has more upside than Beltre,  just agreed to a seven-year, $80 million deal with Colorado.  Are we to believe that Beltre is worth $16 million more (and a year less) than CarGo?
  • Where is Michael Young going?  Remember, your CURRENTLY highest-paid player who JUST HAPPENS to play third base.  He has three more years left on his deal, worth $48 million.  Are the Rangers ready to eat $16 million a year for Young to have Beltre play the same position?  Young is 34 years old and has a big contract for the next three seasons.  What team is going to be willing to eat that amount of money while taking Young on the downside of his career?  On top of that, Young has a no-trade clause in his contract with 22 teams on it, further limiting the options the Rangers have with him.

Kids Making Money






If a film studio can’t bring in audiences to a slick-looking, 3D animated film starring animals with famous voices, they might as well hand over their keys. Making kids movies is like printing money; even the bad ones are usually successful in some way. That makes it tough to gauge just how big a role the marketing played in it.


For example, on April 15 Blue Sky is releasing Rio directed by Carlos Saldanha, who has done Ice Age, Robots, Ice Age: Meltdown, and Ice Age: Dawn of the Dinosaurs for the CG animation house. It features characters voiced by Jesse Eisenberg, Anne Hathaway, Jamie Foxx, Tracy Morgan, Leslie Mann, Jemaine Clement, George Lopez, Jake T. Austin, Will.I.Am and is about a rare bird (Eisenberg) who finds out there’s one other bird in the world like him, and she’s female (Hathaway), so he travels to Rio de Janeiro to win her heart.


While the main characters are important, side characters regularly make these movies and that’s what these new character posters focus on. The question remains, will posters like this make much of a difference? Check them out and let us know.

Here’s the official plot description of Rio.


Blu (Eisenberg) is a rare species of blue macaw resident at a bookstore in Minnesota, who is the last of his kind. When scientists learn that another macaw was spotted in South America, and that the macaw, Jewel (Hathaway), is female, they take him out of Minnesota and send him to Rio de Janeiro to meet her. While there, he learns to confront his fear of flying in order to win her heart. Along the way, they get kidnapped by Fernando (Austin) to sell them to get a fortune. After they escape, they try to avoid the thieves with help from Rafael, a wise Toucan (Lopez), Luiz, a chainsaw ”professional” bulldog (Morgan), Linda, Blu’s owner (Mann), a redhead bird (Will.I.Am) and a small yellow canary (Foxx), and also avoid the theives’ pet cockatoo, Nigel (Clement).


That makes the top poster Jesse Eisenberg and Anne Hathaway, the second poster George Lopez and Tracy Morgan, the third poster Will.I.Am and Jamie Foxx and, by process of elimination, the last poster Jemaine Clement and Jake T. Austin.

Andrew Luck is returning to Stanford for 2011

ESPN.com has just released an article saying that Stanford star QB Andrew Luck will go back to school for his senior season. Luck was ranked as the No. 1 QB on almost everyone's draft board if he was to come out of school early.


For most teams, he was probably No. 1 on their draft boards. Carolina was suspected to take Luck with the first pick in this year's draft. Carolina said they were interested in the Junior from Houston, Texas.


"'I am committed to earning my degree in architectural design from Stanford University and am on track to accomplish this at the completion of the spring quarter of 2012," Luck said in a statement.


Good for Luck. Luck could have entered the draft this year and would have been the hands down No. 1 pick. He could have gotten a contract at least the size of what Sam Bradford got, which was $78 million. He could have started right away on a team that is desperate for a piece to build a team around.


However, Luck made the decision that most would call the wrong one. Why risk your No. 1 draft status to play another year of meaningless college football? Why not go to the NFL and get $40 million in guaranteed money?


I see it differently. Andrew Luck is "true old school," as his dad said. He wants to finish out his college experience and get his degree in architectural design. Props to a man who wants to go back to school and is not interested in the money and the fame and fortune that goes with the NFL life.

Money Making Schemes






Hot sectors will continue to be well funded even in the equity gap. We are seeing strong demand for deals in digital media, e-commerce, mobile software, cloud, cleantech and digital security and this will continue for some time.



However, companies that are reliant on old revenue models and that are not flexible with new routes to market will struggle to raise capital.

Large corporates with accumulated cash reserves are currently the most active players in the M&A market and this will continue to drive venture capital decision making processes.  This is particularly evident in the technology space where groups such as Apple (NSDQ: AAPL), Microsoft (NSDQ: MSFT), Cisco (NSDQ: CSCO) and Google (NSDQ: GOOG) have large cash reserves are on a clearly demonstrated buying spree.



The new UK government has continued the previous government’s commitment to providing funding for early stage companies with the extension and expansion of the Enterprise Capital Fund and Enterprise Finance Guarantee schemes, which are an increasingly important source of funding for small companies.



MMC has seen more deals at the £1 million level, funded by extremely high net worth individuals (“Super Angels”) and we expect to see this continue.



There will be a rise in innovative early stage businesses waiting until they are generating revenue before going out to raise VC funding.



Companies relying on public sector contracts will struggle to raise capital because the public spending freeze means that virtually no new contracts are being won and it will be very hard for start ups to prove themselves.”





As important is the quality of the current crop of quarterbacks. If a quarterback is able to continue to score after the other team, defenses are less important. And to continue to score, the offensive schemes need to be better than average if not outstanding.


Left to the draft, there is a real opportunity but little guarantee that money will be well-spent. While this is also speculation, it is apparent that Bradford is no panacea for the dearth of talent on the Rams. And there is substantial question despite Sam Bradford's fairly successful campaign in the NFL's weakest division that his talent is sufficient to take the Rams to the top.


While the offensive schemes may be insufficient, the most likely coaching change in the Rams' immediate future, the most likely acquisition is another quarterback. The view here is that Bradford will not last. Instead, a seasoned quarterback is more likely to start next year.  


The NFL may also develop an international system like soccer's World Cup. While the talent stream is far different, making this a very difficult proposition indeed, the NFL has far too many teams in the current environment to make real sense on the world stage. The numbers watching terrible games are too low to sustain these teams over the long-term, and an international move would give owners a chance to work with a new and different system for a while.


A move to L.A. for Kroenke makes sense from this perspective. Kroenke had to have gotten something more in the international arena when he gave up his MBA and NFL teams. This could have been some right of first refusal in any new international expansion league. And these are likely to be paired with other NFL franchises. L.A.'s international profile is relevant here, and a move to L.A. in the short term  (probably by 2014) is likely.

Making Money Online With

Last night just before 12 a.m., Twitter began exploding with the news: Facebook had raised $500 million — from Goldman Sachs. Bolstered by a $50-million stake from Russia’s Digital Sky Technologies, a previous FB investor, the Wall Street behemoth had slapped down $450 million to snag the Internet behemoth — now valued at a cool $50 billion. As if on cue, the internet noted that yes, that was cooler than a million dollars.


Notes the NYT’s Dealbook, which broke the scoop: this makes Facebook “worth more than companies like eBay, Yahoo and Time Warner.” It also doubles Mark Zuckerberg’s multi-billion-dollar worth. It also makes Goldman Sachs the gatekeeper to who now gets to invest in the super-hot Facebook, and to the inevitable Facebook IPO. According to Dealbook’s Andrew Ross Sorkin and Evelyn Rusli, Goldman is “planning to create a ’special purpose vehicle’ to allow its high-net worth clients to invest in Facebook, which would allow for max investment while circumventing disclosure rules for companies with 500 or more investors. Clever, that.


So: This is a big deal. Everyone’s already saying that this is putting Google even more on the ropes (seeing as now Facebook is the most visited website in the land) and that Goldman couldn’t be sitting prettier. Here are a few other things it means:


(1) Facebook hiring spree! To paraphrase Antoine Dodson, hide your startups, hide your engineers — Facebook’s a-comin’. Snapping up Hot Potato and Drop.io? Poaching Foursquare’s Nathan Folkman? That’s nothing compared to what Facebook’s got coming. Rumor has it they’re about to close on purchasing the Sun Microsystems campus in Menlo Park from Oracle. That’s probably not just for the scenery. They want to stock up, preferably with talent – and, importantly, companies – that will help it integrate across every platform possible. (I’m guessing one of the new buzzy photo apps will be snapped up.) If you think people are complaining about a developer shortage now, just wait.


(2) China! Mark Zuckerberg recently returned from a trip to China. Innocent pleasure jaunt for the Mandarin-speaking Facebook founder or connection-making relationship-building fact-finding mission to the land of 450 million potential users? China is certainly not an easy place to do business — they just kicked out Skype — but in a globalized, connected world, it’s certainly tough to ignore. Approximately 33% of its massive population is online and as we all know from the rest of the world, that is growing. It’s an insane market to ignore and smart, Mandarin-speaking audacious visionary CEOs probably aren’t going to shy away from trying. Facebook China. It’s gonna happen.


(3) Goldman’s PR Whitewash The Vampire Squid just attached itself to the buzziest, growing-est, Oscar-nominated-est, Person Of The Year-iest tech company around. Who will remember their year of scandal and record bonuses and how everyone hated Goldman Sachs (sample Gawker headline: “Who do you hate more, BP or Goldman Sachs?“). Goldman’s not there for you to like them, people, they’re there to make money — lots of it. But they did have a bruising year and being attached to the shining future-makers at Facebook (never mind the gatekeeper to the Facebook IPO) will certainly help. This lets them offer something shiny to their clients, and bask in that reflected glow. (And guaranteed cashola.) That doesn’t fool the people who know — I like Howard Lindzon’s take:


For Goldman Sachs, this is a no lose situation. If it works, they get the IPO and make some money. That is their job. They got off so easy with the government that this is like Vegas money they probably thought would be the taxpayer’s at some point a year back…The only thing I DO know is that Goldman could give a rat’s ass about the social web and sharing. If they are the top in social web, it’s small potatoes. The war in bonds, currencies and commodities is where the real money is at. This is play money. I hate that Facebook is letting them in.


This is not a coup for Goldman Sachs, this is a shame for the social web.


Okay I lied. I love Howard Lindzon’s take. So, maybe Goldman’s got an uphill PR sell. But — they’ve also got Facebook. Watch the narrative change.


(4) Bigger Players, Bigger Bets When Lindzon points out that this is small potatoes for Goldman, he’s not kidding. But now the bigger fish are sniffing around and what started as mutterings about a bubble somewhere in the late fall now seems to be turning into a gold rush. (Doesn’t Google and their adorable $6 billion offer for Groupon seem so quaint right now? Never mind Twitter’s recent $3.7 billion valuation.) These are billion-dollar figures, and they are actually now starting to sound…eensy. As Ray Kurzweil points out, when technology advances it does so exponentially — so it makes sense that the explosion of tech startups would chicken-egg in conjunction with an explosion of investor dollars — not just the usual (and educated!) suspects, but people on the sidelines reading about Facebook in their Time magazines and deciding that maybe the Internet’s not a fad, after all. (Yes. These people do exist, and many of them have a LOT of money.) High valuations, big deals, young companies getting scooped up — it’s gonna be a dizzying year.


(5) Sympathy For The Google. It’s official: Facebook has gone from underdog challenger of the mighty Google to the top social-tech dog. So watch for everyone to start rooting for Google again. After a wave of backlash (see here and here), the pendulum will swing back around to rooting for the loveable search giant with the cuddly name. Google can take your pity – its market valuation is almost four times Facebook’s at $190 billion, and its current year revenue is about $22 billion to Facebook’s $2 billion. Back to Lindzon: “I think that Google has to buy Twitter and that will start to be a meme soon. It’s a chess game and nuclear war now in the social space.” That sound you hear is the sound of the tech press collectively wetting itself. Ew. But still — everyone likes to root for an exciting matchup. Expect to see some bold moves from Google, soon — if they’re smart. Big “if” (RIP Google Buzz). But isn’t that how underdogs like it?


(6) New Facebook Ad Models. All that said…Facebook has made a big point about how it hasn’t really focused on the silliness of “making money” yet, despite that $2 billion annual rev and nearly 1 trillion display ads per year. I believe them — can they really not do better than targeted ads for Jewish singles in your area? You bet they can: They also make a point about knowing every little bit of information about you for the ultimate in micro-targeting. The online ad industry is evolving and innovating right along with the rest of the web (see AdKeeper) and the key to dominating going forward will be data — using it wisely to convert your users into dollars for advertisers. This is where smart technology will take user data and figure out how to map it on top of shopping data, so that purchasing intent can best be harvested. The stigma about buying online has now pretty much disappeared. With more people using the web, and mobile devices, more often do run more of their lives, there are big bucks at stake. And I’m not even TALKING about how Facebook is looking to horn in on search.


(7) New Facebook Business Models. They have all these users. All this data. They’d be crazy just to stick with what they’ve got. Hell, now they’ve got fun money just to fling up into the air and see where it goes. They’re poaching the best and brightest who all gush on and on about how “exciting” and “creative” and “free” it is. Clearly these people are getting to work on some fun stuff. So far Facebook has shown itself as adept at replicating the innovations of its competitors (see: Foursquare –> Facebook Places). But with all the resources at their disposal and innovations happening across every industry on every platform, they’d be nuts not to at least test the waters. Hey, that car’s not gonna drive itself. Oh, wait.


(8) People Generally Freaking Out This has already started to happen. First Groupon (“What? But they AREN’T EVEN A TECH COMPANY!!!”) and now Super-Sized Facebook. Entrepreneurs and founders and people with fledgling ideas that are half-built that they’ve been slaving over at night are obsessing about all day are suddenly freaking out that they have to get to market NOW before the bubble pops and the money dries up. Chill out, dude. (And, ladies!) If you’re making something of value, it’ll take. Just focus on it, be smart, and don’t let Twitter and TechCrunch freak you out. (Here, take some advice from these people.) Just a moment of Zen amidst the craziness. All right, now – onward! It’s 2011 and YOU’D BETTER NOT SCREW THIS UP. Haa, just kidding. Mostly.

The Middle East’s largest online auction and buying site has decided auctions are so last decade.


From the beginning of 2011 sellers won’t get the option to sell their products in an auction. It’s fixed price, or none at all.


The decision comes as a shock to many as Souq.com, which opened its doors to the public in 2005 and has since launched in 5 countries in the region, has always been portrayed as the eBay of the Middle East. At least in terms of online auctions, not anymore.


“We (and most of our sellers) want to offer the best online shopping experience to users in the region, and this is one step along the way to support this goal.” said CEO and Founder of Souq.com Ronaldo Mouchawar in an email about the recent shift.


This change, as most in life, will have its supporters and detractors. The good thing is, it looks like a only slim minority might end up annoyed.


To illustrate the above, lets say you’re a painter and you work from home during your spare time. I’m one of those who believe art has no price, but since it’s good to have paint to create priceless masterpieces, putting the occasional price tag on your work isn’t entirely evil. The only problem with that is how do you put a price tag on art in the first place? Van Gough considered giving money for art is as important as being an artist yourself. That’s where auctions come in strong.


By putting up a painting to sell through an auction, the seller allows the highest bidder to give her as much it takes to win the auction, or otherwise ask to ‘Buy Now’ according to a price the seller sets. Will this shift be good for those who realistically don’t know how much their work is worth? I would say no.


On the flip-side regional retail stores tend to invest large amounts of money to put their products online on their own, and usually fail miserably. Many factors come into play, but the most obvious are a large user base and an easy to use website to buy from.


This encouraged Souq.com to build a platform for merchants and retail stores to offer their products on Souq through fixed prices (almost all the time), and through Souq Stores which are customizable online outlets for retailers such as UAE’s
